Bankruptcy court approves deal after hearing several objections during lengthy proceeding.

LOS ANGELES, (Reuters) - Renegade song-swap service Napster found a new home on Wednesday after a bankruptcy court approved the sale of revolutionary and legally-challenged company to software maker Roxio Inc.

After a lengthy proceeding during which several objections were heard, the bankruptcy court in Delaware, which has been overseeing the sale of Napster assets since the service filed for Chapter 11 protection earlier this year, approved the sale, said Rick Chance, managing director for Trenwith Securities, the U.S. investment firm handling the asset sale.

Roxio, which bid about $5.3 million in cash and stock to buy the Napster technology portfolio, brand name, trademarks, will not assume any of the Napster's pending liabilities.

In a statement, the Santa Clara, Calif. company said it will be announcing its plan for the development of Napster in the coming months.

More than a dozen bidders, including Barcelona-based adult entertainment company Private Media Group , had emerged as possible buyers.

Additionally, there are several objections outstanding against the Roxio bid, including two by technology suppliers and by former Napster chairman John Fanning, who believed he owned some of the technology, said people familiar with the proceedings.

Trenwith reached a sale agreement with Roxio after conducting numerous rounds of negotiations with multiple parties.

Chance said the court-appointed trustee will now form a plan for distribution of funds to pay the company's creditors.

WHAT A DEAL

Some experts believe that Roxio's purchase price was relatively cheap for a service that, in its heyday, attracted tens of millions of young music fans, a group highly desirable to record labels looking to cultivate a loyal following.

Trenwith Securities originally asked that offers for Napster's technology begin at $6 million.

With the exception of Private's $2.4 million all-stock bid, none of the offers, nor the identities of the bidders, have been made public.

While the music industry has succeeded in idling Napster, several similar services have emerged in its wake and are attracting millions of Internet users to the practice of downloading recordings, video games and movies for free.

The major music labels, which blame online piracy for a dramatic drop in CD sales, took Napster to court for copyright infringement, essentially shutting it down in July 2001.

In the midst of its legal battle, one of the big music companies, Germany's Bertelsmann AG , broke ranks and invested tens of millions of dollars in the service, hoping to cash in on the outfit's global audience of avid music fans.

But Napster ran out of money before it could figure out a way to legitimize the technology and charge consumers for downloads. In September, the bankruptcy court blocked Bertelsmann's bid to buy the Napster assets.

Roxio, a maker of a range of software products that allow computer users to copy and edit music, photos and video onto CDs and DVDs, has expanded its product range over the past year to allow consumers to record and share digital media.

Gerade mit den sehr positiven ersten Ergebnissen des Apple Musicstores und dem Medien-Hype darum herum, könnte sich da einiges an (Kurs-)Phantasie einstellen.

Roxio kauft Pressplay

Bald auferstanden aus Ruinen? Der Spezialist für digitale Medien Roxio arbeitet fleißig am Relaunch der gescheiterten Musiktauschbörse Napster. Das Unternehmen gibt heute bekannt, den US-Online-Musikdienst Pressplay erworben zu haben und somit Katalogrechte bei den fünf großen Musiklabels -- die Grundlage für den Neustart von Napster auf legaler Basis.

"Das Online-Musikgeschäft spielt eine zentrale Rolle in der strategischen Ausrichtung unseres Unternehmens. Mit der Akquisition von Pressplay können wir die Entwicklung dieses Geschäftsbereiches enorm beschleunigen", so Roxio-CEO Chris Gorog. Als Teil der Vereinbarung hat Roxio alle Anteile an Pressplay, dem Joint Venture zwischen Universal Music Group und Sony Music Entertainment, übernommen. Den Kaufpreis dafür gibt das Unternehmen mit 12,5 Millionen US-Dollar in bar und 3,9 Millionen Roxio-Stammaktien an; damit entspricht der Kaufpreis insgesamt etwa 39,5 Millionen US-Dollar.

Ende Februar hatte Roxio erste Gerüchte bestätigt, denen zufolge das Unternehmen einen Neustart von Napster plane. Universal und Sony senden jeweils einen Vertreter in den Aufsichtsrat von Roxio. Der bisherige Führungsstab von Pressplay und die Büros in Los Angeles und New York werden weiterhin bestehen bleiben.

"Wir planen etwa 20 Millionen US-Dollar für den Launch von Napster zu investieren. Apple is in talks to buy Napster, Mac rumours site LoopRumors has claimed, citing "reliable sources".

Well, not Napster per se but Roxio, the CD burning software specialist, which itself acquired Napster's assets for $5 million after the peer-to-peer pioneer declared itself bankrupt last summer.

Roxio also owns PressPlay, the online music service launched by major music labels Sony and Universal in 2001.

It's not hard to see what might interest Apple in Roxio. Roxio's Mac portfolio is limited, but does include Toast, long the leading CD tool until Apple shipped iTunes and built disc burning into the Mac OS. But for many pro users, Toast remains the best solution for disc creation.

But of greater interest to Apple is Roxio's Windows offerings, which include Toast, video editing and digital photo software. Apple bought MP3 jukebox software from Casady & Greene, reworked the user interface and renamed it iTunes. You can see it doing the same with Roxio's Photosuite (iPhoto for Windows) and Videowave (iMovie for Windows).

Now that Apple is charging for its iLife bundle - iTunes, iPhoto, iMovie and iDVD - its entirely possible that the company believes it can make more money selling the software than by giving it away to encourage consumers to buy a Mac. It certainly has to port iTunes to Windows to broaden the availability of its Music Store - indeed, it has been looking for a new member of staff to handle the port - so why not the rest of iLife?

iLife for Windows might prove a cunning tactical move: make money out of Windows users who may never switch, while establishing the Apple brand beyond its established user base.

But back to the online Music Store and related matters. Roxio wants to rename PressPlay using the Napster brand. While it might piss off P2P purists, the Napster name has a very high level of public mindshare that PressPlay itself simply does not possess. Roxio has said it doesn't expect PressPlay to generate a profit until the service is "widely adopted". It's betting that the strength of the Napster brand will make that happen.

Apple may well agree, and acquiring Roxio might be as much about neutralising a threat to Music Store as grabbing the Napster name for itself. We can't see Apple wanting to use the Napster brand, given not only the strength of its own branding, but just how much pain using it would bring to the company's new-found chums in the music industry. And Apple want to keep them sweet: witness its recent move to knock iTunes-based music sharing via the Internet on the head.

One other point: acquiring PressPlay/Napster would bring Apple a ready-made user base for its Windows Music Store launch.

In addition to its source, LoopRumors points to recent "erratic stock activity" and "very high volume trading" as an indication that something's going on. Certainly there was strong trading in AAPL shares during early May, but that's more likely to have been the fallout from the launch of the Music Store. Roxio stock (ROXI) saw above average trading during mid-May - circa the PressPlay acquisition. Early trading this past Friday drove ROXI stock up to $7 from around $6.2. It closed at $6.54.

Wake-Up Time for Napster

On Wednesday night investors got a closer look at what kind of company will be left standing when Roxio (Nasdaq: ROXI) morphs itself from its current form as a downloadable-music and consumer-media-software company into a pure-play Napster online music company. Based on the nearly 5% appreciation in its shares in yesterday's trading, they liked what they saw.

This summer the company announced plans to sell its software division, which offers programs that can be used to mix and burn CDs and DVDs, to Sonic Solutions (Nasdaq: SNIC). That deal is expected to close by the end of the company's fiscal year -- it just reported first-half results through Sept. 30 on Wednesday -- and already has government clearance: A shareholder vote is all the approval that's left.

That would seem to be a rubber stamp based on the market's acceptance of Wednesday's numbers, which afforded them a better glimpse into the kind of company they'll own when Roxio becomes Napster and adopts the "NAPS" ticker full-time. Napster revenues, about a third of the company's current business, grew 18% to $9.3 million from their Q1 figures. Annualize that, and you've got perhaps $10 million of gross profit on $40 million in revenues -- not a bad place to start.

Granted, Napster will surely start out as a money-losing company in a competitive space where it will compete with everyone from Apple Computer's (Nasdaq: AAPL) well-known and big-spending -- did you see those U2 advertisements? -- iTunes to Virgin Music to offerings from Sony (NYSE: SNE), Microsoft (Nasdaq: MSFT), and beyond. That challenge won't go away.

But its balance sheet, as Rick Aristotle Munarriz noted in August, will be refreshed with cash -- and stock in the Sonic venture -- and its business will be energized by its independence. It looks like a company that will represent an interesting opportunity for investors who are looking for a pure play in the downloading business -- and who make sure to take time to understand the financial dynamics of what they're getting into.

Die aktuellen Online-Musikshops hätten nur ein sehr begrenztes Repertoire im Angebot und auch die Nutzerzahlen seien eher gering, so Fenning. Im Gegensatz dazu stehen unautorisierte Dienste mit großen Nutzerzahlen und reichhaltigen Inhalten, die aber den Rechteinhabern ein Dorn im Auge sind. Snocap soll nun eine Brücke zwischen diesen beiden Welten bauen.

Die Idee dabei ist recht einfach: Rechteinhaber können ihre Musikkataloge in Teilen oder ganz bei Snocap anmelden, diese sorgen in Kooperation mit P2P-Anbietern dann dafür, dass die entsprechenden Titel nicht mehr illegal getauscht werden.

P2P-Anbieter, die mit Snocap zusammenarbeiten, müssen dazu ihre Client-Software anpassen. Diese prüft, wann immer ein Nutzer einen Titel in der Tauschbörse findet, ob dieser bei Snocap registriert ist und erlaubt nur dann den Tausch gegen eine Gebühr. Ist der Titel nicht registriert, wird ein Herunterladen durch die Client-Software verhindert.

Preise und Regeln bezüglich des Musiktausches setzen die Unternehmen selbst, Snocap tritt nur als Clearing-Anbieter auf. Ob die Titel als per DRM gesichert sein müssen, entscheidet der Rechteinhaber. Snocap ist dabei auf die freiwillige Zusammenarbeit der P2P-Anbieter angewiesen, verspricht teilnehmenden Tauschbörsen aber, für eine höhere Qualität zu sorgen und schlechte Aufnahmen auszusortieren.

Finanziert wurde Snocap von den Risikokapitalgebern WaldenVC und Morgenthaler Ventures mit 10 Millionen US-Dollar. (ji)
