NeoMedia and Scanbuy Reach Settlement and License Agreement

Today NeoMedia Technologies, Inc. (OTCBB: NEOM), and Scanbuy, Inc., leaders in mobile barcode technology, announced they have settled all pending litigation between the companies and have granted non-exclusive patent licenses to each other.

NeoMedia and Scanbuy have agreed to terminate all pending litigation brought by NeoMedia against Scanbuy in 2004, and by Scanbuy and Marshall Feature Recognition, LLC (?MFR?) against NeoMedia in 2008.

In addition, NeoMedia has granted Scanbuy a royalty bearing, non-exclusive license to a portion of its patent portfolio in the U.S. In turn, Scanbuy has granted NeoMedia a fully paid, irrevocable, non-exclusive license of Scanbuy patents and a fully paid, non-exclusive sublicense to all of the patents licensed by MFR to Scanbuy within the U.S.

This agreement will enable consumer brands, advertising agencies and mobile operators to confidently engage with either company to implement mobile barcode solutions in the U.S. The technology has enormous potential to become a viable and widely adopted communication channel.

Neom has access/usage to All sb patents @ no charge/fees.
But sb has only access/useage to a Portion of neom patents @ a charge/fees.
Great work neom/management!!!

Looks like neom came out on top.

just had the most positive talk with Iain McCready, CEO of NeoMedia. I congratulated him on today’s huge news that the patent lawsuit with competitor Scanbuy has finally come to an end. Scanbuy and NeoMedia have reached an agreement and Scanbuy will license  NeoMedia’s IP.

But I still had some burning questions, such as would NeoMedia receive back installments for infringement? Here is an overview of the call.

Bena: Iain. Congratulations. What does this mean for you and NeoMedia?

Iain: Bena, I am delighted. The IP issue was the most important barrier to mobile barcode adoption in the US. The case was a black cloud on moving forward and this barrier has been removed. We are about openness; open standards and mobile barcodes.

Bena: Iain, you might not be able to tell me, but what kind of agreement is it and when will it be published?

Iain: Bena in the past I have been forced to remain silent despite huge deals in the background. I know some of our shareholders were frustrated, but I can speak and I am delighted. The 8K filing will be issued but we are delighted that Scanbuy will be paying up-front fees for past infringements and on top of that we will be getting royalties.

Bena (drops the phone): Iain, I am sorry. Did I hear you correctly? Scanbuy will pay upfront fees on past infringement.

Iain: Yes. But for us our IP has been vindicated and that is our success.

Bena: Is the agreement for everything, all of your IP?

Iain: No. It is not for our whole portfolio, it’s partial. But it is a 10 year deal.

Bena: I have to admit Iain, during your time at NeoMedia you have been a soldier. You have had a task list and one by one have managed to tick off the biggest deals and turn the company around. I am very impressed and wasn’t sure that it was possible.

Iain: Our IP was the crucial part in this and that is the main driver. We had a checklist of what we wanted to achieve and you are right nearly every box is ticked.

Bena: So are you going to retire? (laughs)

Iain: No, I have worked too hard to let it go. All guns are blazing and I am ready to take the company to greater levels.

Bena: OK. Any plans for now?

Iain: I am going to have a cold beer now.

Bena: (laughing) Iain you deserve it – I have followed NeoMedia for a long time and have known you from day one. The mother in me is making me feel proud. Have a great night!

Figures. We felt fortunate to find NeoMedia Technologies (NEOM) at the beginning of its upturn, attracted by its well-paced move higher as of October 14th. Rather than just quietly ride the trend higher though, today?s 40% surge is forcing us to turn our intermediate-term trade into something with a much shorter duration. Yes, that?s right - NeoMedia technologies is overbought, and ripe for a short-term dip. Here?s how we?re handing it?.

First and foremost, we?re not complaining. We suggested NeoMedia shares on the 14th when they were trading at $0.142. At the current price of $0.20, our readers are up about 40%. We?ll take it.

Our grumbling is simply that the chart?s over-extended now, which puts the entire uptrend at risk. Sustainability is the key. The pace we saw then was sustainable. Today?s pop, however, isn?t sustainable, and may end up acting as a ?final hurrah? for this leg of the chart.

????????????????On the flip side, the rising support line is still intact, and the volume is clearly favoring the bulls. In other words, don?t freak out just yet.


We advocate the hedged approach?. sell some now and lock in a short-term profit, but keep the rest just in case NEOM settles down, retest that bullish support line, and resumes its uptrend again. Just think of it as the best of other worlds. Of course, if NeoMedia Technologies shares slip under that support line, that?ll be the time to dump the remainder of what you own and enjoy the small profit on the entire trade.

All in all it?s not what we were hoping would happen, but that?s trading - a small win that could have been a big win is sure better than a loss any day of the week. If we continue to find enough of these high-potential, low-risk trading setups like the one we found with NEOM, enough of them will pan out to our advantage.
