17 May 2011 CLEANSING STATEMENT - PLACEMENT On 16 May 2011, Echo Resources Limited (ASX:EAR, ?Company?) issued a total of 6,136,364 fully paid ordinary shares at a price of 22 cents per Share pursuant to a placement to institutional and sophisticated investors (Placement Shares), as announced on 16 May 2011. In accordance with the requirements of section 708A(5)(e) of the Corporations Act 2001 (Act), under which this notice is given, the Company confirms that: 1. 2.
the Placement Shares are part of the class of ordinary shares quoted on the ASX; the Company issued the Placement Shares without disclosure to investors under Part 6D.2 of the Act, in reliance on section 708; as at the date of this notice: (a) the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company; the Company has complied with section 674 of the Act (as it applies to the Company); and 3.
